US cable giant Comcast is to announce a deal Thursday to take a controlling stake in NBC Universal from General Electric, a source said, creating a consolidated power spanning broadcast TV, cable and film NEW YORK (AFP) - – US cable giant Comcast is to announce a deal Thursday to take a controlling stake in NBC Universal from General Electric, a source said, creating a consolidated power spanning broadcast TV, cable and film. The deal values NBC Universal, one of the world's largest media-entertainment groups, at 30 billion dollars, the source said Wednesday. The news comes days after French media group Vivendi accepted 5.8 billion dollars (3.86 billion euros) for its 20-percent stake in NBC Universal, according to sources, paving the way for General Electric to make the deal with Comcast. Once the sale is finalized, the Philadelphia, Pennsylvania-based Comcast will hold a majority of NBC Universal, the world's fourth-largest media and entertainment company after The Walt Disney Co., Rupert Murdoch's News Corp. and Time Warner. Neither GE nor Comcast would comment on the possibility of finalizing the deal, which had been reportedly in the works for weeks. The source indicated the new structure would give Comcast a 51-percent stake in NBC Universal, with GE still holding a 49-percent share. The joint venture would have debts of nine billion dollars. The deal had been held up by Vivendi, which late Monday accepted to value its stake at 5.8 billion dollars, slightly less than the 6.0 billion dollars it had sought, according to a source familiar with the talks. Facts: NBC Universal Under the agreement, Vivendi would receive cash after the deal is completed but would get two billion dollars if it is not finalized by the end of 2010, sources indicated. Regulatory approval could take up to two years, according to the source. NBC Universal was created in 2004 with France's Vivendi agreeing to give up control of Universal Studios to a new entity headed by GE. The venture left the French firm with a 20 percent stake in the division. The Comcast deal for NBC Universal came five years after its failed 54-billion-dollar takeover bid for The Walt Disney Co. The deal gives Comcast one of the top Hollywood film studios, Universal Pictures, which has churned out a stream of Oscar-winning movies from "All Quiet on the Western Front" in 1930 to "To Kill a Mockingbird" (1962), "The Deer Hunter" (1978) and "Schindler's List" (1993). Universal, incorporated in 1925, is one of the most storied names in Hollywood. It was merged with MCA in the 1950s and then in the 1990s to Canadian spirits group Seagram before being acquired by Vivendi, which was a French water utility firm. NBC's cable and broadcast television holdings include flagship NBC -- the oldest of the four major US broadcast networks along with ABC, CBS and Fox -- financial news channel CNBC, 24-hour cable television news channel MSNBC, The Weather Channel, Bravo and Spanish-language broadcast network Telemundo. Comcast operates several television channels including the Style Network, the Golf Channel and E! Entertainment Television, and is active on the Web with Fancast.com, an online video portal, movie ticketing service Fandango and online address book and social network Plaxo. Comcast will attempt to break the curse of companies seeking to marry content and delivery, such as AOL and Time Warner. Time Warner is in the process of spinning off its Internet unit AOL and has shed its cable holdings to concentrate on media and entertainment. Comcast to join media and entertainment elite News Corp. sold its satellite television service DirecTV in 2008 to Liberty Media. The Wall Street Journal, citing people familiar with the deal, reported Wednesday that Comcast would inject about six billion dollars into the venture, and it also could buy out the remainder of GE's stake in the seven years after closing. Bob Wright, former chief executive at NBC Universal, said the deal has risks. "It's going to be a management challenge when one party is looking to grow and the other party is looking to get out," but there is also an "upside" for GE if the venture performs well, Wright told the Journal. Comcast shares closed Wednesday up 0.42 percent at 14.08, but fell 1.06 percent to 14.03 in after-hours trade.
