China's Sina to buy large part of digital ad giant's business

SHANGHAI (AFP) - - Popular Chinese web portal operator Sina Corp has agreed to buy a large part of advertising giant Focus Media for more than a billion dollars in stock, the two companies said.
Under the deal Focus, China's largest outdoor digital advertising firm, will sell Sina its core operations including flat-panel networks that play ads in elevators and in-store assets.
The deal, expected to be completed in the first half of 2009, is intended to "combine the forces of two of the most powerful new media advertising platforms in China," Charles Chao, chief executive of Sina, said in a statement.
The companies, which are listed on the US Nasdaq index, announced the deal late Monday.
Shanghai-based Sina generates the majority of its revenues from online advertising and mobile value-added services and has been expanding steadily due to a growing Internet population in China.
Recent statistics suggest China overtook the United States in the number of web users earlier this year, and is expected to have 280 million by the end of the year.
The statement said Sina will issue 47 million new shares to Focus Media in return for the assets.
The shares will be valued at around 1.4 billion dollars based on Sina's closing share price of 29.24 dollars on Friday.
The assets to be acquired by Sina accounted for 52 percent of Focus Media's revenues and 73 percent of its gross profits for the first nine months of the year, according to the statement.
However, despite the synergy from cross-selling following the deal, some analysts argued the idea of "media conglomerate" has not worked well in China.
Focus Media's "original plan of cross-selling between Internet, in-store, and elevator lobby business has not shown much success," Dick Wei, an analyst with JPMorgan, said in a research note.
